Following your recent correspondence, I’ve reviewed the Agreement in detail.

Under Clause 4 of the Agreement, the contract is non-cancellable for the agreed Initial Term and provides for payment obligations irrespective of service utilisation once production has commenced. As production and strategic development have already been initiated in line with the agreed scope, the Agreement remains fully enforceable.

For clarity:

• The Agreement is active and binding for the agreed term.
• Cancellation “effective immediately” is not provided for under Clause 4.
• All invoiced and forthcoming payments remain due in accordance with the contractual schedule.

We are, of course, prepared to continue delivery in line with the original implementation plan and ensure the service goes live as intended.

If your position is that there has been a material breach of contract, please outline this in writing with supporting detail so we can review it formally.

‍

Absent that, we require confirmation by [hl][reasonable date – e.g., 5 business days][/hl] that payments will be brought up to date and implementation will proceed.

We remain open to a constructive discussion, but we must also protect our contractual position.
